Terms of Service

1. Who we are
Kuide is operated by Buffi Oy, Finnish Business ID 3179864-1, Akaa, Finland ("Kuide", "we", "us"). These Terms govern your use of the Kuide AI shopping assistant and related services (the "Service"). By installing or using the Service you agree to these Terms.
2. The Service
Kuide provides an embedded chat assistant that helps shoppers in your store find and combine products, including quantity guidance and compatibility suggestions. Recommendations are generated by AI models and are provided for guidance only. You remain responsible for the accuracy of your product data and for any advice presented to your customers through your store.
3. Fees and billing
Subscription fees, any usage-based charges, and free-trial terms are those shown at the point of purchase. Where the Service is installed through the Shopify App Store, billing is handled by Shopify under your Shopify account, and Shopify's billing terms apply in addition to these Terms. We may change pricing on 30 days' notice; changes do not apply to a billing period already paid for.
4. Your data
You retain all rights in your product catalog, store content, and customer data. You grant Kuide a licence to process that data solely to provide and support the Service to you. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.
5. Aggregated and Derived Data
In providing the Service, Kuide analyses the product catalog you make available to it. From that analysis Kuide may derive generalised factual statements about third-party manufacturers' products — for example, that two actuator series from a given manufacturer are not mutually interchangeable, or that a given component requires a matching part from the same product family.
Such derived statements: (a) describe publicly ascertainable characteristics of third-party manufacturers' products and are not specific to your business; (b) contain no data identifying you, your store, your customers, your pricing, your stock levels, your sales volumes, or your commercial performance; and (c) exclude your product identifiers, product handles, URLs, product descriptions, and any verbatim text from your catalog.
Kuide may retain and use such derived statements to improve the Service for all customers, including after termination of your subscription.
Kuide will not use your catalog contents, pricing, stock levels, sales data, or customer data to serve any other customer.
6. Acceptable use
You may not use the Service to breach applicable law, infringe third-party rights, upload unlawful content, attempt to circumvent usage limits, reverse engineer the Service, or resell it without our written agreement. We may apply reasonable fair-use limits to protect service quality, and will contact you before restricting an account for sustained excess use.
7. Availability and support
We aim for high availability but do not guarantee uninterrupted service. The Service depends on third-party providers, including AI model, hosting and commerce platform providers, listed in our Privacy Policy. Planned maintenance will be notified where practicable. Support is provided by email during Finnish business days.
8. Intellectual property
Kuide, including its software, models, prompts, knowledge bases and documentation, remains our exclusive property. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. No rights are granted except as expressly stated.
9. Warranties and liability
The Service is provided "as is" to the extent permitted by law. AI-generated recommendations may be incomplete or incorrect and are not professional, technical or safety advice. To the maximum extent permitted by law, our total liability arising out of or in connection with these Terms is limited to the fees you paid for the Service in the twelve months preceding the event giving rise to the claim, and we are not liable for indirect or consequential loss, lost profits, or loss of data. Nothing in these Terms limits liability that cannot be limited under mandatory law.
10. Term and termination
Either party may terminate at any time. Uninstalling the app ends your subscription at the close of the current billing period. On termination we delete or anonymise your store and shopper data in line with the retention periods in our Privacy Policy. Sections 5, 8, 9 and 13 survive termination.
11. Changes to these Terms
We may update these Terms. Material changes will be notified at least 30 days in advance by email or in-app notice. Continued use after the effective date constitutes acceptance.
12. Governing law and disputes
These Terms are governed by the laws of Finland, excluding its conflict-of-law rules. Disputes are resolved by the District Court of Pirkanmaa, Finland. Where you are a consumer, you retain any mandatory rights and forums available to you under the law of your residence.
